Terms of Service

These Terms of Service govern access to and use of HQ, ROSE’s delivery workflow platform. By using the service, you agree to these terms on behalf of yourself and, where applicable, the organization you represent.

Use of the Service

HQ is provided to support internal operations, client collaboration, project delivery, workflow management, and related professional-services activities. You may use the service only in accordance with these terms and all applicable laws.

Accounts and Access

  • You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs under your account.
  • You must provide accurate information and promptly update it if it changes.
  • ROSE may suspend or revoke access if we believe an account is unauthorized, insecure, or being used in violation of these terms.

Acceptable Use

  • Do not attempt to gain unauthorized access to systems, accounts, or data.
  • Do not interfere with platform availability, security, or normal operation.
  • Do not upload or transmit unlawful, infringing, malicious, or deceptive content.
  • Do not use HQ to build competing services through scraping, reverse engineering, or unauthorized automated extraction.

Client Materials and Platform Content

You retain rights to materials and data you provide to HQ, subject to any separate statements of work, service agreements, or client contracts with ROSE. You grant ROSE the rights needed to host, process, transmit, and display that content solely to operate, support, secure, and improve the service.

AI and Workflow Features

HQ may include AI-assisted generation, summarization, classification, or workflow recommendations. These outputs are provided for operational support only and should be reviewed by a qualified human before being treated as final business, legal, or professional guidance.

Fees and Commercial Terms

Pricing, billing, implementation scope, and payment obligations are governed by separate proposals, statements of work, master service agreements, or other written commercial terms between ROSE and the client organization.

Disclaimers

HQ is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, ROSE disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, ROSE will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to HQ. Any direct liability will be limited to the amount paid for the applicable services during the twelve months preceding the event giving rise to the claim, unless a separate written agreement states otherwise.

Termination

We may suspend or terminate access if you violate these terms, if access creates security or legal risk, or if the underlying client relationship ends. Upon termination, your right to use HQ stops immediately, though provisions that by their nature should survive termination will continue to apply.

Changes to These Terms

We may update these terms from time to time. When we do, we will revise the effective date and may provide additional notice for material changes. Continued use of HQ after an update becomes effective means you accept the revised terms.
